BNB Plus Corp. has secured initial commitments for $4.1 million in convertible preferred financing as the company accelerates its transition toward a digital asset treasury and infrastructure-focused business model.
The Nasdaq-listed company said it expects total proceeds from the financing to reach approximately $5 million, with funds earmarked to expand its digital asset holdings, support working capital needs, and fund a broader strategic review of its operations and capital structure.
Following completion of the financing, BNB Plus expects to hold more than $16.4 million in cash and digital assets based on valuations as of May 23.
The financing reflects the company’s ongoing repositioning from its prior identity as Applied DNA Sciences toward a digital asset treasury and decentralized finance strategy centered around the Binance ecosystem. The company is simultaneously maintaining operations within its LineaRx biotech subsidiary, which provides therapeutic DNA production services.
Management said LineaRx recently reached profitability during the second quarter of fiscal 2026, providing additional operational stability as the company evaluates strategic alternatives across both its biotechnology and digital asset businesses.
Chief Executive Officer Clay Shorrock said the financing provides the capital flexibility needed to pursue initiatives focused on maximizing shareholder value while supporting the company’s evolving digital asset strategy.
The financing attracted participation from several digital-asset-focused institutional investors, including Comstock Multichain Fund, managed by Silvermine Capital Advisors, and Off the Chain, LP. As part of the transaction, BNB Plus also will enter into an advisory arrangement with GlobalStake Infrastructure, a Web3 infrastructure company specializing in validator operations, staking infrastructure, and institutional digital asset services.
GlobalStake will lead a strategic review evaluating two primary operating paths: expansion into digital asset and AI infrastructure opportunities and potential monetization strategies for the LineaRx subsidiary.
The digital infrastructure review is expected to focus on institutional yield generation, blockchain infrastructure, and the intersection of agentic AI systems with digital asset payment mechanisms. Meanwhile, the review of LineaRx could include partnership discussions, licensing arrangements, asset sales, or other monetization transactions.
Operationally, the move highlights how smaller public companies are increasingly restructuring around digital asset treasury strategies and blockchain infrastructure opportunities in response to renewed institutional interest in tokenized finance, staking yield generation, and decentralized financial systems.
The financing itself includes two classes of convertible preferred stock structured with dividend and liquidation preferences designed to provide investors downside protection while preserving near-term cash flexibility for the company. BNB Plus will have the option during the first two years to capitalize dividend obligations into principal balances rather than paying cash distributions.
The Series B-1 preferred shares were priced at $1.05 per share — substantially above the company’s recent common stock trading price — and include warrants for additional common shares. A second series of preferred shares allows certain existing investors to exchange existing holdings into preferred equity with revised economics.
Richard Shorten, founder of Silvermine and chairman of GlobalStake, will lead the strategic review. Shorten has previously worked across digital assets, telecom, and restructuring environments and said the company requires a more sophisticated treasury and infrastructure strategy as digital asset markets mature.
Formerly known primarily for biotechnology operations, BNB Plus now describes itself as a company focused on providing access to Binance ecosystem yield strategies and blockchain-based treasury operations while continuing commercialization efforts within its nucleic acid production business.
